Regulations of
the Miss Egzotica International 2010 contest

§ 1.
Subject of the Regulations

1. Regulations of the Miss Egzotica International 2010 Contest regulate the method, form and conditions for organization and conducting the Miss Egzotica International Contest.


§ 2.
Definitions of terms used in the Regulations

1. Organizer: Showbiz Models,

2. Representative: entity with which the Organizer signed Cooperation Agreement and whom authorized in writing to use the Trade Mark in order to organize qualifications and/or in particular the Regional Contest.

3. Participant Form: personal questionnaire - attachment no. 2 to the Regulations.

4. Finalist: a participant of the Final Contest.

5. Contest Finals: stage of the Contest during which Miss Egzotica International is selected.

6. Contest Jury: persons assigned to select the Contest Winners by virtue of decision by the Organizer or Representative.

7. Winner Term: period from the date of selecting a Winner until the day of selecting her direct successor.

8. Contest: Miss Egzotica International contest.

9. Contest Winner: winner of the title, diadem and sash.

10. Miss Egzotica International: Contest winner.

11. Participant’s Declaration: statement confirming that the Participant read the Contest Regulations and obliges to observe them.

12. Management Contract: contract signed between a Participant and the Organizer stipulating principles of management cooperation under exclusivity rules between the Organizer and the Participant, attached hereto as attachment no. 3.

13. Cooperation Agreement: agreement concluded in a written form under the pain of invalidity between the Organizer and the Representative.

14. Participant: any woman taking part in at least one Stage of the Contest, fulfilling requirements of the regulations (including also the Contest Winners).

15. Regional Qualifications: a stage of the Contest in which jury selects representatives of individual regions (countries) who then take part in the Contest Finals.

16. Trade Marks: word and graphic trade mark MISS EGZOTICA International protected in the Patent Office of the Republic of Poland under no. Z-31 19191 for the benefit of the Organizer, and the word mark Miss Egzotica.

17. 1st runner up: winner of the second place in the Contest.

18. 2nd runner up: winner of the third place in the Contest.

19. 1st runner up of the Region: winner of the second place in the given Regional Contest.

20. 2nd runner up of the Region: winner of the third place in the given Regional Contest.


§ 3.
Scope of Organizer’s rights

1. The only and exclusive owner of the contest is the Organizer, whose rights to organizing and conducting the Contest are not anyhow limited by rights of any other entities.

2. The Organizer is the only and exclusive owner of the word and graphic trademark Miss Egzotica International, protected at the Patent Office under no. Z-331919; visualized in the attachment no. 1 hereto.

3. The Organizer is the only and exclusive owner of the word trade mark Miss Egzotica protected at the Patent Office.

4. The Organizer is authorized to conclude Cooperation Agreements and entrust organization of the Contest stages to any of the following entities at its own discretion: natural persons, legal persons or units of organization without legal personality, authorizing the said in the signed contract to use the expression: Licensed Representative of Miss Egzotica International.


§ 4.
Scope of rights and duties of the Licensed Representative of Miss Egzotica International

1. The Representative shall be obliged to conclude Cooperation Agreement with the Organizer.

2. The Representative shall have right to use the expression Licensed Representative of Miss Egzotica International in communication with any third parties.

3. The Representative shall be entitled to use the Trade Mark or the expression “Miss Egzotica” in time and scope as specified in writing by the Organizer in the Cooperation Agreement signed by the Organizer and the Representative.

4. The Organizer shall be obliged to maintain good reputation of the Organizer and the reputation and prestige of the Contest.

5. The Representative shall be obliged to verify data and ensure that the Contest participants fulfill the requirements as specified in the Regulations §7.

6. The Representative shall be obliged to incur a license fee for using Trade Marks Miss Egzotica in 2008. An annual license fee shall be determined by the Organizer and specified in the Cooperation Agreement.

7. The Representative shall be obliged to make a candidate for the Contest Participant to read the Regulations before she takes part in the Contest, and to receive from her the Declaration confirming that she read the Regulations and obliges herself to observe the same.


§ 5.
Using Miss Egzotica Trade Marks

1. Any unauthorized use of the trade mark by any entity without a written permission from the Organizer, or using the trade mark in a way other than specified by the Organizer in its written permission, shall be subject to legal sanctions.

2. The Organizer shall be entitled to authorize any entities at its own discretion to use the trade mark chargeable or free of charge.


§ 6.
Organization of the Contest

1. The Contest has a form of open contest for all women, including those without Polish citizenship, if they fall under criteria specified herein.

2. The Contest is made up of the Regional Stages and/or qualifications that end up with the Contest Finals organized and conducted by the Organizer in a city and country selected by the Organizer.

3. If a participant comes from a region in which the Regional Contest is organized, before participating in the Contest Finals, she must take part in the Regional Contest.

4. Participation of a Participant in the Contest must follow application of the Participant to a specific Regional Representative or the Organizer, signing and submitting the Participant Form, Declaration and the Management Contract, mentioned in §2, clause 2 and 11 of the Regulations.

5. Decisions concerning qualifying of a given woman to the Contest, after she fulfilled requirements specified in §6, clause 4 and §7, as well as selecting the Regional Contest Winners and Miss Egzotica International Contest Finals Winners are made by independent jury

6. Jury at the regional stage (jury of the Regional Contest and/or qualifications) shall be appointed by the Representative organizing the Regional Contest and/or qualifications. The Organizer’s representative shall be in the composition of the jury of the Regional Contest.

7. Participation in the works is honorary.

8. Composition of the jury of the Contest Finals is established by the Organizer.

9. Detailed agenda of the contest council as well as the method of voting for individual candidates shall be defined by the Organizer in the following way:

– voting shall be realized by means of Voting Cards: each of the jurors receive a voting card with a list of all Participants of the Contest (name, surname, age, height, sizes, education, etc.). Voting cards must not contain contact data of the Contest Participants.

– each presentation of the candidates shall be evaluated with points from 1 to 3. 3 points shall be awarded to a candidate for the winner of the Contest, 2 points - candidate for the 1st runner up, 1 point - candidate for the 2nd runner up. A juror shall not award any points to other candidates.

10. The Contest Participants present themselves in at least three presentations, in various dresses, including swimsuits.

11. The Council shall award votes, taking in consideration particularly the following features: proportions of the silhouette, height, facial feature, complexion, hair, ability to move on stage, grace, choreography knowledge, freedom of contact with media, self-presenting, command of foreign languages, manner and content of speaking, skill of gaining public.

12. The jury shall appoint a jury Chairman among themselves by majority of votes.

13. A juror must give a filled voting card to the Jury Chairman in a strictly defined time of the Contest Gala.

14. Voting of the Contest Council ends up with the jury Chairman’s drawing up the Voting Report containing a list of winners of a given Contest Stage who shall receive awards in compliance with §9 of the Regulations.


§ 7.
Participation in the Contest

1. Any woman may participate in the Contest, provided that she meets the following criteria:

1.1. When participating in the Contest, she must be 18 or more in a given year, however, she must not be older than 28.

1.2. She is a person without criminal record, of flawless nature and unimpeachable reputation.

1.3. She must submit the Participant Form, Declaration and Management Contract at the Organizer or the Regional Representative.

2. Winners of the Regional Contests and in particular the finalists of Miss Egzotica International must not take part in other beauty contests, excluding such contests to which they are delegated by the Organizers, under the pain of contractual penalty specified in §9, clause 3b.

3. Each candidate, starting from the level of qualifications, shall be obliged to prepare, at her own cost, an evening dress, a swimsuit and stilettos.

4. In the course of the Contest, the Winners to receive the following titles shall be selected:

- Miss Egzotica International
- 1st runner up
- 2nd runner up
- Miss Egzotica Photo
- Miss Egzotica - Audience Choice

4.1. The Organizer reserves its right to define additional titles.


§ 8.
Fees and costs of Participants

1. The Organizer shall not collect any registration fee from the women taking part in the Contest.

2. In case a woman is qualified to the Contest Finals, the Finalist is obliged to bring in refundable security in the amount of 1,000 PLN (one thousand zlotys) as a security of damages that may occur in connection to her participation in the Contest or in connection with breach of the Regulations (including in particular §7, §9) or provisions of the Management Contract. The security is refundable after the Contest Finals, unless there are some premises for the Organizer to keep it.

3. Excluding provisions of §8, clause 4, 5, 6 and 9, the Participants take part in the Contest at their own costs.

4. The Organizer shall provide the Finalists living outside the place of conducting the Final Gala and outside the grouping place, with accommodation and lodging during preparatory groupings before the Contest Finals. Additional costs, including in particular travelling costs, telephones, etc. shall be borne by the Finalists.

5. The Organizer shall pay the costs of preparation and promoting the Finalists’ image.

6. The Organizer shall pay expenses of photographic sessions, hairstylists, make-up artists and materials promoting a Finalist.

7. The Organizer shall pay expenses for experts (hairstylists, make-up artists, choreographers, etc.) required to prepare presentation of a Finalist on stage.


§ 9.
Disqualification of a Participant

1. By virtue of decision of the Organizer, a Participant may be disqualified at any stage of the Contest, unless it guarantees adequate performing of her obligations, including in particular the case of breaching the Management Contract or provision of the Regulations.

2. The following is a list of premises, any of which may be a particular basis for disqualification of a Participant:

a. insubordination, arrogance, alcohol abuse or using other stimulants,

b. being convicted under a final and valid judgment of a public court,

c. providing untrue information in the Form, Declaration or the Management Contract, or concealing truth,

d. marriage of a Participant, conception or birth of a child,

e. breaching provisions of the Regulations and/or the Management Contract - including in particular the right of exclusivity,

f. creating and spreading negative image of the Contest and Organizer,

g. participating by the Regional Contest Winner or Miss Egzotica International Finalist in other beauty contest, subject to §7, clause 2.

h. changing image (appearance of a Participant), including in particular changing length of hair and eye colour, making tattoos, piercing, etc. without notifying the Organizer and receiving its permission.

3. The disqualification shall mean particularly the following:

a. the Participant’s obligation to return, within 7 days from the day of decision about disqualifications from the Contest, all prizes received in the contests or in relation to the contests organized by the Organizer (or the Representatives), or money equal to the value of the said prizes.

b. obligation to pay contractual penalty, within 7 days from the day of decision about the disqualification, in the amount of 5,000 PLN (five thousand zlotys) and return of costs incurred by the Organizer connected with the Participant, including in particular the costs of accommodation, lodging, costs of photographic sessions, etc.,

c. loss of the security, irrespective of the contractual penalty.

4. A disqualified Participant is replaced by a Participant who holds the next place in the Contest or the place is left empty upon the decision of the Organizer.


§ 10.
Rights and obligations of the Contest Winners

1. The title is awarded to the Winner for all her life.

2. The crown/diadem and the sash of the Contest Winner are challenge prizes.

3. The Contest Winners are obliged to wear sashes and diadems (Miss Egzotica International - crowns) during all official events from the day they were awarded with the title, particularly until the end of their terms.

4. The Contest Winners are obliged to participate in the following events, without any consideration whatsoever:

a. press conferences, television and radio interviews promoting the Winners and/or the Contest (also indirectly),

b. radio and television recording sessions promoting the Winners and/or the Contest,

c. photographic sessions for the purpose of promoting the Winner and/or the Contest, Miss Egzotica calendar, as well as other promoting and marketing materials for the Contest,

d. the Regional Contest, the Final Contest as guests of honour or members of the Council,

e. charity events, charity collections indicated by the Organizer or an entity authorized by the Organizer.


§ 11.
Prizes of the Contest

1. The following prizes are awarded in the Contest according to the Regulations:

1.1. For Miss Egzotica of the Region 2010:

- Title of Miss Egzotica of the Region 2010 in which the Participant won,
- Sash of Miss Egzotica of the Region 2010 in which the Participant won,
- Diadem of Miss Egzotica of the Region 2010 in which the Participant won,
- The right to participate in the Miss Egzotica International 2010 Finals, without necessity to take part in qualifications.

1.2. For the 1st runner up and the 2nd runner up, Miss Egzotica of the Region 2010 in which the Participant received respectively the second or the third place:

- Sash of Miss Egzotica of the Region 1st runner up 2010 in which the Participant won,
- Diadem of Miss Egzotica of the Region 2nd runner up 2010 in which the Participant won,
- The right to participate in Miss Egzotica International 2010 Finals without necessity to take part in qualifications.

1.3. For Miss Egzotica International 2010:

- Title of Miss Egzotica International 2010,
- Sash of Miss Egzotica International 2010,
- Crown of Miss Egzotica International 2010.

1.4. For the 1st runner up and 2nd runner up of Miss Egzotica International 2008:

- Sash of Miss Egzotica 1st runner up 2010 International,
- Diadem of Miss Egzotica 2nd runner up 2010 International

2. The Organizer shall be entitled to award the so-called Exotic cards at the regional level, which authorize a Participant to take part in the Contest Finals without necessity to participate in qualifications.

3. Sponsor Prizes may be also awarded during the Contests in the form of a cash prize or in-kind prize. The founders of Sponsor Prizes shall take full responsibility for awarding the same and settlement of the awarded Participant’s tax obligations toward the tax office pursuant to applicable tax regulations.
